Ducksoup Terms of Service

Welcome to Ducksoup! These Terms of Service ("Terms") govern your use of the Ducksoup platform (the "Platform"), operated by Ducksoup ("Ducksoup", "we", "our", or "us"), which helps companies design, manage, and analyse interview processes using AI-powered tools and expert input.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.

1. Using Ducksoup

You may use the Platform only in compliance with these Terms and all applicable laws. When you create an account, you must provide accurate information and keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

We reserve the right to suspend or terminate your access to the Platform if we believe you are in violation of these Terms, or if your use poses a risk to Ducksoup or other users.

2. Platform Description

Ducksoup provides tools and services that allow companies to:

• Design interview processes tailored to specific roles and organisational needs.
• Generate interview questions, tasks, and scoring rubrics using AI.
• Collaborate on candidate evaluations.
• Access insights and recommendations from human experts and machine-generated analyses.

We continually improve the Platform and may add, modify, or remove features from time to time. Any changes will be communicated where appropriate, and continued use of the Platform constitutes acceptance of those changes.

3. Your Content

You may provide input to the Platform, including job descriptions, interview criteria, candidate evaluations, and other materials ("User Content"). You retain ownership of your User Content.

By uploading or submitting User Content, you grant Ducksoup a non-exclusive, worldwide, royalty-free licence to use, store, process, and display that content solely for the purpose of providing and improving the Platform.

You are responsible for ensuring that your User Content complies with applicable laws and does not infringe the rights of any third party.

4. Intellectual Property

Ducksoup owns all intellectual property rights in the Platform, including the software, algorithms, and content we provide (excluding your User Content). These Terms do not grant you any ownership rights in the Platform.

You may not copy, modify, distribute, sell, or lease any part of the Platform, nor may you reverse engineer or attempt to extract the source code, unless permitted by law or with our written consent.

5. Confidentiality

You agree not to disclose any non-public information shared with you through the Platform, including candidate data, scoring methodologies, and proprietary platform features. We agree to handle any confidential information you provide to us with care and only for the purpose of delivering our services.

6. Data Privacy

We take data protection seriously. Our use of your data is governed by our Privacy Policy, which outlines how we collect, use, and store your personal and business data.

By using the Platform, you agree to our data practices as described in the Privacy Policy.

7. Acceptable Use

You agree not to misuse the Platform. This includes, but is not limited to:

• Attempting to gain unauthorised access to the Platform or its infrastructure.
• Using the Platform to transmit or store malicious software.
• Submitting unlawful, discriminatory, or misleading content.
• Using AI outputs in ways that violate hiring laws or ethical hiring practices.

We may suspend or terminate access for users who breach these requirements.

8. Disclaimers and Limitation of Liability

The Platform is provided "as is" and "as available". We make no warranties, express or implied, regarding the accuracy or fitness for a particular purpose of any outputs generated by the Platform, including AI-generated interview questions or assessments.

To the extent permitted by law, Ducksoup shall not be liable for any indirect, incidental, or consequential damages arising from your use of (or inability to use) the Platform.

9. Termination

You may stop using the Platform at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Platform.

Provisions that by their nature should survive termination (e.g., intellectual property, confidentiality, limitation of liability) will continue to apply.

10. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via the Platform or by email. Your continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
